Purpose of the Beta Program
This agreement governs your participation in the IntelliClerk beta program. Every account is enrolled at the Beta Tester level while the beta runs.
It supplements the Terms of Service. Where the two differ, this agreement controls until general release.
Term
The beta runs until IntelliClerk reaches general release. No end date has been fixed, and no renewal date has been set. You may leave the beta at any time; we may end the program, or your participation in it, on notice.
No Fee
For the duration of the beta:
- the subscription level is Beta Tester;
- the monthly cost is $0.00;
- no renewal date has been set;
- no payment card is held on file.
Nothing is billed during the beta, and nothing you did during the beta will be billed after it.
Pre-Release Software
IntelliClerk is pre-release. Features may change or be withdrawn, drafts may be incomplete, and defects should be expected.
Do not let the service hold the only copy of a document you intend to file. Keep your own copy of anything you would not want to lose.
Attorney Review Is Required
Nothing IntelliClerk drafts may be filed unreviewed. You are counsel of record, and every duty of competence, diligence, and supervision under the Virginia Rules of Professional Conduct remains yours and not the service's. That is more true of pre-release software, not less.
Feedback
We ask for feedback and would like to act on it. When you send feedback — a defect, a suggestion, a complaint — you grant us a perpetual, royalty-free right to use it to improve the service, with no obligation owed to you and none on us to act on it.
Do not put client confidences in feedback. Describe the problem, not the matter.
Client Data During the Beta
Client information you upload during the beta is held as confidential under the Terms of Service. Your own duty of confidentiality is unchanged by the beta, and you should upload only what you have the authority to upload.
Confidentiality of the Beta
Unreleased features, pricing under consideration, and anything we mark confidential are ours and are not to be published.
Your assessment of the service is your own. Nothing here restricts what you may say about how well it works.
No Warranty; Limitation of Liability
During the beta the service is provided as is and without warranty of any kind. The limitation of liability in the Terms of Service applies in full; because the beta is provided at no cost, total liability is $0.00.
Ending the Beta
When the beta closes you will be given notice, the terms and pricing that would follow, and a period in which to download your matters and archived files.
You will be asked to accept those terms. If you decline, your account will be closed, and you may download your data before it is removed.
Relationship to the Terms of Service
Except as this agreement provides, the Terms of Service govern your use of IntelliClerk.
